Terms and Conditions of Use

Welcome to Central Yacht Agent Inc. ("CYA"). These Terms and Conditions ("Terms of Use") govern your access to and use of our website and services.

1. General Use

By accessing our website, you agree to these Terms of Use. You are responsible for maintaining the confidentiality of your account and password. Refer to our Privacy Policy for how we collect and use your data.

CYA may update these terms without prior notice. Continued use of the site implies acceptance of the modified terms.

We may modify, restrict, suspend, or discontinue any aspect of the site at any time.

2. Eligibility and Account Responsibility

Only registered users with active accounts in good standing may access full site features. Users are responsible for maintaining the confidentiality of login credentials and are liable for any actions under their account.

3. Ownership and License

All site content including software, source code, layout, images, and trademarks are owned by CYA and protected under international IP laws.

Members in good standing are granted a non-exclusive, non-transferable license to use content solely within the approved yachting industry context.

4. Usage Restrictions

• Modify, reproduce, or distribute site content without prior written consent.
• Use bots, scrapers, or other automated tools to access or copy site content.
• Repurpose site content in apps or third-party platforms without written approval.

CYA reserves the right to pursue legal action for unauthorized use.

5. API and Feeds

CYA gives brokers access to our data via an API feed. Agents understand that by adding a yacht to CYA it will be made available to any broker who wishes to partake in the feed from CYA. The agent understands that this is not a representation by the broker that they are the agent of the yacht but that they are marketing the yacht to their website visitors.

Access to API and embedded snap-in services is permitted for approved members only. Data retrieved may not be repackaged or distributed outside the agreed usage.

Blank or broad queries will be blocked. Misuse will result in account suspension or legal action.

Important Restrictions on API Use:

• API users may not replicate or mirror CYA data in whole or in part on their own websites, apps, or platforms.
• Caching of API data is permitted for a maximum of 24 hours unless otherwise agreed in writing. After this period, data must be refreshed from the API.
• Stored or cached data must not be used to circumvent API request limits or access controls.
• All use of the API must include appropriate attribution to Central Yacht Agent Inc. where applicable.
• All images retrieved via the API must remain hosted on and linked directly to the original CYA servers. Images may not be downloaded, stored, or served locally from third-party servers.

Third-Party Use of API Content:

Brokers accessing CYA data through the API are authorized only to display content directly from CYA servers. Brokers may not download, store, reproduce, or locally host images obtained through the API.

Any broker who reproduces, copies, or hosts media outside the authorized API display mechanism assumes full responsibility for such use.

6. Links to Third Parties

Our site may link to third-party websites. CYA is not responsible for the content, policies, or practices of these external sites. Use at your own risk.

7. Product Information and Advertising

We disclaim all express or implied warranties for third-party products or advertisements. All sales are final and provided "AS IS."

We are not liable for indirect, special, or consequential damages, including lost profits.

8. Data Security and Collection

We implement reasonable security measures but cannot guarantee absolute safety of information transmitted online.

By using our services, you consent to the collection, use, and transfer of your data as outlined in our Privacy Policy.

9. Content Submissions and User Conduct

You may not submit content that is defamatory, obscene, infringing, or unlawful.

User Content Responsibility: By uploading, submitting, or distributing any photographs, videos, text, or other media ("Content") to the CYA platform, the user represents and warrants that they own or have obtained all necessary rights, licenses, and permissions to use, publish, and distribute such Content through the CYA platform and any authorized distribution channels, including broker API feeds.

License to CYA: The user grants Central Yacht Agent Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute such Content solely for the purpose of operating the CYA platform and providing yacht listing distribution services to authorized brokers.

Indemnification: The user agrees to indemnify, defend, and hold harmless Central Yacht Agent Inc., its officers, employees, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to (i) the user’s uploaded Content, (ii) any alleged copyright infringement or intellectual property violation, or (iii) any claim that the user did not possess the rights necessary to distribute the Content.

We may remove or refuse content at our discretion and may report illegal activity to authorities.

Platform Role

Central Yacht Agent Inc. operates solely as a technical hosting and distribution platform for yacht listing content submitted by independent yacht agents and other users.

CYA does not create, edit, verify, or control the accuracy, ownership, or licensing of any photographs, videos, or other media submitted by users.

All uploaded content is the sole responsibility of the user who submitted it.

10. Paid Accounts and Billing

Subscriptions must be paid 30 days in advance. No refunds are provided, including for pre-paid periods. To cancel, contact us at least 3 business days before your next billing cycle.

Termination of a primary account will deactivate all sub-users under that account.

11. Copyright and DMCA

Central Yacht Agent Inc. complies with the Digital Millennium Copyright Act (17 U.S.C. §512).

If you believe that material hosted on the CYA platform infringes your copyright, please submit a written notice to general@CentralYachtAgent.com including:

• Identification of the copyrighted work
• Identification of the allegedly infringing material
• Your contact information
• A statement of good faith belief that the use is unauthorized
• A statement under penalty of perjury that the information is accurate

Upon receipt of a valid notice, CYA will promptly remove or disable access to the allegedly infringing material.

Limitation of Liability

To the maximum extent permitted by law, Central Yacht Agent Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of the platform or from user-generated content hosted on the platform.

12. Termination and Suspension

CYA may terminate or suspend any account at any time without notice. Upon termination, all content obtained must be deleted.

13. Jurisdiction and Legal Use

This agreement is governed by the laws of the State of Florida. Legal disputes shall be resolved in courts located in Ft. Lauderdale, FL.

You agree not to use the site for spamming or unauthorized data harvesting. Unauthorized use may result in termination.

14. Refund Policy

All payments are non-refundable. Account holders are responsible for timely cancellation notices.
